Terms of service

Last updated 20 August 2026

These terms cover our website, our apps, and anything you buy from us. They are written to be read, not to be impressive — where something is a real commitment we have said so plainly, and where something is a limit on what we promise we have said that plainly too.

If you are buying founding access to an app that has not been released yet, clause 6 is the one that matters and we would rather you read it before you pay.

1.Who these terms are between

In plain terms This is the agreement between you and us. Using the site or an app means you accept it.

These terms are an agreement between you and Linkdra ("we", "us") covering www.linkdra.com, app.linkdra.com, and every app we make available through them.

By creating an account, buying a plan, or using any of our apps, you agree to these terms. If you are agreeing on behalf of a company or a firm, you confirm you are authorised to do so, and "you" means that organisation.

If you do not agree with these terms, do not use the apps.

2.What our apps do, and what they do not do

In plain terms We read your records and send emails about them. We never move money, and we never send anything you have not approved or scheduled.

Our apps connect to accounting systems and other tools you already use, read information from them, and help you send messages based on what they find.

Some limits apply across every app we offer, and they are deliberate:

  • We do not process payments, hold funds, transfer money, or operate as a payment service. Nothing in any app can move money into or out of any account.
  • We do not collect debts on your behalf and we are not a debt collection agency. Our apps send reminders and status messages; they do not pursue debts, report to credit agencies, or take enforcement action.
  • Where we connect to an accounting system, that connection is read-only unless an app states otherwise on its own page and you have separately approved the additional access.
  • We do not provide accounting, tax, legal or financial advice. What our apps produce is information and correspondence, not advice you should rely on in place of a professional.

Any app-specific limits — how many client organisations, how many messages a month — are published on that app’s page and form part of these terms.

3.Your account

In plain terms One person is responsible for the account. Keep your login safe and tell us if something looks wrong.

You must be at least 18 and able to enter a binding contract. You are responsible for everything that happens under your account, including anything done by people you invite into it.

Keep your credentials confidential. Tell us promptly if you believe your account has been accessed by someone who should not have access to it.

You are responsible for the accuracy of the information you give us, including the email addresses and business details you connect or upload.

4.Free plans

In plain terms Free means free. No card, no countdown, and we will tell you before we change it.

Every app has a free tier. It does not require a payment card, it is not a time-limited trial, and it does not expire. Its limits are on volume — how many contacts, messages, or connected organisations — and those are published on each app’s page.

We may change what the free tier includes. If we reduce it in a way that affects you, we will give you at least 30 days’ notice by email and you will be able to export your data before the change takes effect.

We may suspend or close a free account that has been inactive for 12 months, after giving you notice and a chance to keep it.

6.Founding access (buying an app before it is released)

In plain terms There is no founding-access offer open right now. If we open one for a pre-release app, its terms will be published here and you will be able to read them before you pay.

From time to time we sell founding access: a one-time purchase of a licence to an app that has not been released yet. It is not a subscription, it does not renew, and there is nothing to cancel.

No such offer is currently open. When one is, this clause will state which app it applies to, the price, the delivery date, and the following, which we consider binding on us for the life of that offer:

  • Delivery date. A firm date by which we will make the app available to you. If we miss it, you may request a full refund at any time after that date and we will pay it in full, without requiring a reason or a form.
  • What is included. The workspace, usage limits and features published on the offer page at the time you bought it.
  • What "lifetime" means. Your licence lasts for as long as we continue to operate that app. It is not a promise to operate it forever, and we would rather say so here than imply otherwise.
  • If we discontinue the app. We will give you at least 90 days’ notice and let you export your data. If we discontinue it within 12 months of launch, we will refund what you paid in full.
  • Transfers. The licence is tied to one business and cannot be resold or transferred, except where a business is sold as a going concern.
  • Changes after launch. We may change how the app works as we build it. If a change removes something the offer page described when you bought, and you tell us within 30 days, you may have a full refund.

Terms for a founding-access purchase already made are not affected by this clause being updated later — see the changes clause.

Founding access seats are limited in number. When the published number for an open offer is taken, that offer closes.

7.Messages we send for you

In plain terms Emails go out under your name, so their content is your responsibility. Do not use us for marketing or spam — these apps are for transactional messages to people you are already doing business with.

Several of our apps send email on your behalf, from your address or your domain, so the recipient sees the message as coming from you. You remain the sender for legal purposes.

You are responsible for making sure those messages are lawful, accurate and appropriate. In particular you agree that:

  • You have a legitimate business relationship with each recipient — they are your supplier, your customer, or your client.
  • You will not use our apps to send marketing, promotional or bulk unsolicited email. These are transactional and administrative messages, and our systems are built and sized on that basis.
  • You will comply with the CAN-SPAM Act and any equivalent law that applies to you, including honouring opt-outs and not using misleading subject lines or headers.
  • You will not use our apps to harass, threaten, or repeatedly contact someone who has asked you to stop.

We may suspend sending on an account immediately where we reasonably believe it is being used for spam, harassment, or anything unlawful, and we will tell you why.

We keep a record of the messages sent through your account, including recipient, subject and content, so that both you and we have an accurate history. That record is available to you.

8.Your data, and your clients’ data

In plain terms Your data stays yours. You can export it whenever you like, and we do not sell it or use it to train anything for anyone else.

You keep all rights to the data you put into our apps, and to the data we read from systems you connect. We do not sell it and we do not share it with anyone except the service providers listed in our privacy policy.

We use it to run the apps for you, to support you when you ask, and to keep the service secure and working. We do not use your data, your clients’ data, or the content of your messages to train models offered to anyone else.

You can export your data at any time while your account is open, and for at least 30 days after it closes.

Where you connect an accounting system belonging to a client of yours, you confirm you have that client’s permission to do so.

How we handle personal information is set out in our privacy policy, which forms part of these terms.

9.The partner program

In plain terms You set your own prices and own the client relationship. We bill you wholesale. Your clients are your responsibility.

Partners resell or extend our apps to their own clients. Certified partners pay a one-time activation fee of $49, which covers provisioning your tenant, mapping your domain and configuring your branding.

The activation fee is refundable until we have provisioned your tenant, and not after, because that is the point at which the work has been done.

As a partner:

  • You set your own retail prices. We bill you at wholesale rates and take no position on what you charge.
  • You own the relationship with your clients, including first-line support, your own contract with them, and your own invoicing.
  • You are responsible for your clients’ use of the apps, and for making sure your agreement with them is consistent with these terms.
  • You may present the apps under your own brand. You may not claim to have built them, or represent yourself as us.
  • If you leave the program, your clients’ data remains exportable by you or by them. We will not hold it to keep you in the program.

We may end a partner arrangement, with 30 days’ notice, if the program is discontinued or if these terms are breached.

10.Acceptable use

In plain terms Do not attack it, resell it outside the partner program, or use it to break the law.

You agree not to:

  • Reverse engineer, decompile, or attempt to extract our source code, except where that restriction is prohibited by law.
  • Resell, sublicense or provide the apps to third parties outside the partner program.
  • Interfere with or disrupt the service, circumvent rate limits or usage caps, or attempt to access accounts or data that are not yours.
  • Use the apps to break any law, infringe anyone’s rights, or send anything unlawful, defamatory or deliberately misleading.
  • Scrape the service, or use automated means to extract data from it beyond the exports we provide.

We may suspend or close an account that breaches this clause. Where the breach is not serious and can be fixed, we will ask you to fix it first.

11.Services we connect to

In plain terms We rely on QuickBooks, Xero, Google and Microsoft. If they change or go down, that affects us, and it is not something we can promise around.

Our apps connect to third-party services including QuickBooks Online, Xero, Google Workspace and Microsoft 365. Your use of those services is governed by your agreements with them, not by us.

Those providers may change their APIs, their terms, or their availability. Where that affects what our apps can do, we will tell you and adapt as quickly as we reasonably can, but we cannot guarantee continued compatibility with a service we do not control.

Disconnecting a third-party service is always available to you, and takes effect immediately.

12.Availability and changes

In plain terms We aim to keep it running, we will warn you before big changes, and we will not delete your data without notice.

We work to keep the apps available and will give advance notice of planned maintenance where we reasonably can. We do not currently offer a contractual uptime guarantee, and we would rather say that plainly than publish a number we cannot stand behind.

We may add, change or remove features. Where we remove something you rely on, we will give at least 30 days’ notice by email.

If we discontinue an app entirely, we will give at least 90 days’ notice and provide an export. Founding access purchases are additionally covered by clause 6.

13.Liability

In plain terms If we get something badly wrong, what you can claim is capped at roughly what you paid us. We are not liable for a payment a client did not make.

The apps are provided as they are. To the fullest extent permitted by law we exclude implied warranties, including any implied warranty of merchantability or fitness for a particular purpose.

We are not liable for indirect or consequential loss, loss of profits, loss of business, or loss of data, arising from your use of the apps.

In particular, we are not responsible for whether anyone actually pays you, or pays your client. Our apps send reminders and messages; they cannot compel payment and we make no promise about the outcome.

Our total liability to you in any 12-month period is limited to the greater of the amount you paid us in that period, or $100.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.

14.Ending your account

In plain terms You can leave whenever you want and take your data with you.

You may close your account at any time. Where you have a paid subscription, closing it stops future charges; the 14-day guarantee in clause 5 covers the most recent charge if you are within that window.

We may suspend or close your account if you materially breach these terms, if we are required to by law, or if we discontinue the service under clause 12.

On closure, your data remains available for export for at least 30 days, after which we delete it in line with our privacy policy.

15.Changes to these terms

In plain terms We will email you before anything material changes. Carrying on using the apps means you accept the new version.

We may update these terms. Where a change materially affects your rights, we will give at least 30 days’ notice by email to the address on your account before it takes effect.

Continuing to use the apps after a change takes effect means you accept the updated terms. If you do not, you may close your account and, if you are within the window, use the guarantee in clause 5.

Changes to clause 6 do not apply retroactively to a founding access purchase already made. The terms you bought under are the terms that govern it.

16.General

If any part of these terms is found to be unenforceable, the rest continues to apply.

Our not enforcing a right on one occasion does not waive it.

You may not assign these terms without our consent. We may assign them to a successor if our business is sold, on notice to you.

These terms, together with our privacy policy and any app-specific limits published on an app’s page, are the entire agreement between us.

Questions about these terms can be sent through our contact page, and we will answer them.

Questions about anything here? Ask us — we would rather answer before you sign up than after.
